本条例旨在订定条文,设立一委员会,以管理破产欠薪保障基金,并规定雇员在
其雇主处于无力清偿债务的情况下,可获该基金拨付款项;并就相关或附带事宜订定

本条例可引称为《破产欠薪保障条例》。
在本条例中,除文意另有所指外——
“工资”(wages)指公司清盘时,申请人根据《公司条例》(第32章)第265(1)(b)或(c)条会有权获优先偿还的工资或薪金,或在破产案中,申请人根据《破产条例》(第6章)第38(1)(b)或(c)条会有权获优先偿还的工资或薪金,但《公司条例》(第32章)第265(1)(b)或(c)条或《破产条例》(第6章)第38(1)(b)或(c)条(视属何情况而定)所指明为申请人会有权获优先偿还的最高款额,或根据《公司条例》(第32章)第265(1A)或(1B)条或《破产条例》(第6章)第38(2)、(2A)或(2B)条(视属何情况而定)取代该最高款额的任何款额,并不适用;(由1993年第15号第2条修订)
“公司”(company)指根据《公司条例》(第32章)可予清盘的任何团体;
“代通知金”(wages& in& lieu& of& notice)指公司清盘时,申请人根据《公司条例》(第32章)第265(1)(cc)条会有权获优先偿还的代通知金,或在破产案中,申请人根据《破产条例》(第6章)第38(1)(cc)条会有权获优先偿还的代通知金,但《公司条例》(第32章)第265(1)(cc)条或《破产条例》(第6章)第38(1)(cc)条(视属何情况而定)所指明为申请人会有权获优先偿还的最高款额,并不适用;(由1987年第48号第2条增补。由1993年第15号第2条修订)
“申请人”(applicant)指公司清盘时,根据《公司条例》(第32章)第265(1)(b)、(c)、(ca)或(cc)条会有权获优先偿还的任何人,或在破产案中,根据《破产条例》(第6章)第38(1)(b)、(c)、(ca)或(cc)条会有权获优先偿还的任何人,但如该人的雇主为一名个别人士,而该人为雇主的家庭成员,并且与雇主居住在同一居所内,则不在此列;(由1987年第48号第2条修订;由1989年第38号第2条修订)
“委员会”(Board)指凭藉第3条成立的破产欠薪保障基金委员会;
“财政年度”(financial& year)指根据第8条所定的基金财政年度;
“破产呈请”(bankruptcy& petition)指《破产条例》(第6章)所指的破产呈请;
“基金”(Fund)指第6条所提述的破产欠薪保障基金;
“处长”(Commissioner)指劳工处处长;
“清盘呈请”(winding-up& petition)指《公司条例》(第32章)第V或X部所指的清盘呈请;
“遣散费”(severance& payment)指雇主根据《雇佣条例》(第57章)第31B(1)条须发给雇员的遣散费;(由1991年第45号第2条代替)
“征费”(levy)具有《商业登记条例》(第310章)第2条给予该词的涵义。

3.设立破产欠薪保障基金委员会及使其成为法团
(1)现设立一委员会,名为破产欠薪保障基金委员会,其英文名称为“Protection& of& Wages& on& Insol-vency& Fund& Board ”;该委员会为一法团。
(2)委员会由一名根据附表委任的主席及不超过10名由总督按下述规定委任的委员所组成——
(a)在符合(b)段的规定下,不超过4名的公职人员;
(b)总督认为代表雇主的人及总督认为代表雇员的人,双方人数须相等。
(3)总督须藉宪报公告,就每项委任作出通知。
(4)附表对委员会适用。
4.委员会的职能及权力
(1)委员会的职能如下——
(a)管理基金;
(b)就征费率向总督提出建议;及
(c)执行本条例所委予的其他职责或行使本条例所授予的其他权力。
(2)委员会可办理一切在更有效执行其职能方面属必需、附带或有利的事情,并在不损害前述条文的概括性的原则下,尤可办理下述事情——
(a)持有、取得或租借各类财产,不论属动产或不动产;
(b)出售或以其他方式处置各类财产,不论属动产或不动产;
(c)除第10条另有规定外,按其认为需要或合宜的方式及程度将其资金加以投资;及
(d)在获得财政司事先同意下,按其认为合宜的方式及以其认为合宜的保证或条款借入款项。
5.委员会须遵行总督会同行政局指示
总督会同行政局可就委员会执行根据本条例所定职能事宜,向委员会发出其认为适当的指示;而委员会须遵行该等指示。

6.破产欠薪保障基金的设立
根据在紧接本条例生效日期前施行的《商业登记条例》(第310章)第21条的规定而设立的名为破产欠薪保障基金的基金,须当作根据本条设立及继续存在;该基金由下述款项构成——
(a)税务局局长根据该条拨付的款项,不论该款项在本条例生效日期之前或之后拨付;
(b)根据第Ⅵ部索回的款项;
(c)从构成该基金的款项及投资而得到的利息及其他收入;及
(d)合法拨付该基金的其他款项。
7.从基金拨付的款项
凡属下述款项,须从基金拨款支付——
(a)根据第16条支付申请人的款项;
(b)委员会为施行本条例而招致的开支;
(c)贷款的本金、利息及费用;及
(d)根据本条例须从基金或可从基金拨款支付的其他款项。

8.财政年度及收支预算
(1)委员会可在获得总督事先批准下,不时指定某一段期间为该基金的财政年度。
(2)委员会在每一个财政年度,须于总督所定的日期前,将该基金下一个财政年度的收支预算呈交总督批准;
但该基金第一个财政年度的收支预算,须于本条例生效日期后在切实可行范围内尽快呈交。
(3)总督须对委员会根据第(2)款呈交的收支预算加以考虑,并可批准或拒绝接受该预算;如总督拒绝接受该预算,可要求委员会按其指示的方式修改该预算,并在其指示的期间内将经修改的预算再次呈交。
(4)委员会可不时对根据第(3)款获批准的收支预算作出更改,并须在切实可行范围内尽快将一份载有更改细节的陈述书送呈总督。
9.银行帐户
委员会须在财政司批准的银行开立及保存一个帐户,并将该基金的所有款项拨入该帐户内。
10.款项的投资
凡属基金的款项,如并非委员会即时所需者,可——
(a)存入根据《银行业条例》(第155章)领有牌照的任何银行的定期存款帐户、通知存款帐户或储蓄帐户;或
(b)在获得财政司事先批准下,投资于委员会认为适当的其他投资项目中。
11.帐目
委员会须——
(a)按库务署署长的要求备存及保存有关该基金各项交易的帐目及记录;及
(b)于每一个财政年度终结后,促使拟备有关该基金的帐目结算表,结算表须包括收支帐目及资产负债表,并须由主席签署。
12.核数师
(1)委员会须于每一个财政年度开始时委任核数师;核数师有权接触委员会所备存的一切帐簿、单据及其他记录,并有权要求提供其认为适当的资料及解释。
(2)核数师须审计根据第11条拟备的帐目结算表,并就该帐目结算表向委员会作出报告。
13.将帐目结算表及报告提交立法局省览
(1)委员会须在每一个财政年度终结后6个月内,或在总督就某一个年度所准许的较长时间内,将有关委员会在该财政年度活动的报告,连同根据第11条拟备的帐目结算表及根据第12条作出的报告一并呈交总督。
(2)总督在接获根据第(1)款呈交的报告及帐目结算表后,须促使将该等文件提交立法局省览。
14.基金的管理费用
(1)政府就管理该基金所招致的一切费用及开支,均须从政府一般收入中拨款支付。
(2)财政司可作出指定,从基金收入中征收一项监管费,款额由财政司决定,而该项收费是作为由财政司决定的某段期间的监管费,并须由委员会在财政司所决定的日期从基金中拨款支付予财政司,而财政司须将该款项拨入政府一般收入内。

15.申请特惠款项权利
(1)在符合本部规定的情况下——
(a)如申请人的工资已到期支付而未获支付;
(b)如申请人的代通知金已到期支付而未获支付;或
(c)如向申请人支付遣散费的法律责任已产生,而该遣散费未获支付(不论该遣散费当时是否已到期支付),则该申请人可就该工资、代通知金或遣散费(视属何情况而定)或上述各项、其中一项或多于一项,申请从基金拨付特惠款项。(由1989年第38号第3条代替)
(2)根据第(1)款提出的申请(在本部中称为“申请”(application),须采用经处长批准的表格,以书面向处长提出。(由1987年第48号第3条修订)
(3)凡属1985年4月1日前提供服务所应得的工资,不得申请从基金拨付。
(4)凡因《1987年破产欠薪保障(修订)条例》(1987年第48号)生效日期前已终止的雇佣合约而产生的代通知金,不得申请从基金拨付。(由1987年第48号第3条增补)
(5)凡属《1989年破产欠薪保障(修订)条例》(1989年第38号)生效日期前产生支付责任的遣散费,不得申请从基金拨付。(由1989年第38号第3条增补)
16.款项的支付
(1)除第(1B)及(2)款另有规定外,如处长觉得雇主未有将工资、代通知金或遣散费(视属何情况而定)或上述各项、其中一项或多于一项付给申请人,而——
(a)如雇主并非一间公司,且——
(i)已有人针对雇主入禀破产呈请;或
(ii)雇主已作出《破产条例》(第6章)第3条所指的破产作为,但因该条例第6(1)(a)条而不能针对雇主入禀破产呈请;或(由1988年第41号第2条代替)
(b)如雇主是一间公司,且已有人针对雇主入禀清盘呈请,则处长可从基金中拨出数额相等于该工资、代通知金或遣散费(视属何情况而定)或上述各项、其中一项或多于一项的特惠款项支付给申请人。
(1A)处长根据第(1)(a)(ii)款付款时,须就该付款事项及付款理由在宪报刊登公告。(由1988年第41号第2条增补)
(1B)有关遣散费的申请如已提出,而在申请当日,该遣散费尚未到期支付,则处长可延迟考虑该项申请,直至该遣散费到期支付为止。(由1989年第38号第4条增补)
(2)处长根据第(1)款付款时须受以下规定所限——
(a)除非申请人采用经处长批准的表格作出法定声明,以核实其申请,否则处长不得付款给申请人;
(b)如处长就工资付款,则付款额不得超逾$18,000;(由1993年第15号第3条代替)
(c)(由1993年第15号第3条废除)
(d)处长不得就申请日期前的4个月前所提供服务的工资付款;
(e)如处长就代通知金付款,则——
(i)付款额不得超逾——
(A)与申请人1个月工资相等之数;或
(B)$6,000,
两者以较小的款额为准;或(由1993年第15号第3条修订)
(ii)处长不得就申请日期前超过4个月到期支付的代通知金付款,但第(2A)款另有规定者除外;或(由1989年第38号第4条代替)
(f)如处长就遣散费付款,则——
(i)付款额不得超逾以下两者的合计总数,即$8,000之数和申请人有权得到的遣散费中减去$8,000后之半数;或(由1991年第45号第3条代替)
(ii)处长不得就申请日期前的4个月前产生付款责任的遣散费付款。(由1989年第38号第4条增补)
(2A)对于因《1989年破产欠薪保障(修订)条例》(1989年第38号)生效日期前已终止的雇佣合约而产生的代通知金,第(2)(e)(ii)款并不适用。(由1989年第38号第4条增补)
(3)立法局可藉决议修订第(2)(e)(i)(A)款内指明的期间或第(2)(b)、(e)(i)(B)或(f)(i)款内指明的款额。(由1987年第48号第4条增补。由1993年第15号第3条修订)(由1987年第48号第4条修订;由1989年第38号第4条修订)
17.由委员会作出的审核
(1)申请人如因处长根据第16条所作的决定而受屈,可以书面——
(a)请求处长提供作出该决定的理由;及
(b)在处长根据(a)段提供理由后,请求处长将其申请转介委员会处理。
(2)处长在接获申请人根据第(1)(b)款提出的请求后,须向委员会主席递交所有与该项申请有关的文件。
(3)委员会在接获根据本条转介的申请后,可维持或更改处长的决定,或为该等目的而要求处长就有关的申请作进一步查讯。
18.处长的额外权力
(1)尽管在任何个案中未有针对雇主提出第16(1)(a)(i)或(b)条所提述的呈请,如处长认为有下述情况,仍可在受该条第(2)款的规限下根据该条支付特惠款项——(由1988年第41号第3条修订)
(a)雇主雇用不足20名雇员;
(b)该个案中有足够证据支持以下述理由入禀呈请——
& &&(i)如雇主是一间公司,该公司无清偿债务能力;或
(ii)如雇主并非公司,该雇主已作出破产作为;及
(c)该个案中入禀呈请是不合理或不符合经济原则的。
(2)处长根据第(1)款行使酌情决定权而支付款项时,须在宪报刊登公告,述明他认为有足够证据支持以下述理由入禀呈请——
(a)如雇主是一间公司,该公司无清偿债务能力;或
(b)如雇主并非公司,该雇主已作出破产作为。
(3)第(2)款并无规定处长须就每名雇主刊登多于一份公告。
(4)任何人不得就根据第(2)款刊登的公告,向处长采取法律行动。
19.申请的核实
(1)为核实根据第15条提出的申请,或如委员会根据第17(3)条作出要求,处长可进行其认为适当的查讯,并在不限制前述条文的概括性的原则下,以及无损于处长在其他条例下的权力的原则下,尤可——
(a)会见申请人及其他雇员;
(b)向申请人或管有处长认为核实申请所需任何记录、帐簿或其他文件的人,发出书面通知,要求他将该等文件呈交处长查阅;
(c)向处长合理地相信是管有《雇佣条例》(第57章)规定雇主须备存的任何登记册、记录或其他文件的人,发出书面通知,要求他将该等文件呈交处长查阅;及
(d)向与该项申请有关的雇主或其任何受雇人、代理人或雇员发出书面通知,要求他到处长席前及回答处长所提的问题。
(2)处长就根据本条所定出的要求而送达的通知书,须述明被通知人须遵从该项要求的时间及地点。
(3)根据本条须予送达任何人的通知书,可以邮递方式送达。
(4)就处长根据第(1)款进行查讯的权力而言——
(a)任何人如被要求回答问题,在答覆问题上所享有的特权犹如其在法庭被询问此等问题时所享有者一样;但除此之外必须回答所询问题;
(b)处长在进行查讯时,须尽可能不拘形式,并可决定采取何种程序。
20.根据本部所作的决定不得受质疑
处长或委员会行使本部授予的任何酌情决定权时所作的决定,在任何法庭均不得受质疑。
21.处长的转委权力
(1)处长可以书面授权劳工处任何人员行使或执行处长在本部下的权力或职责。
(2)在本部内,除第(1)款外,“处长”(Commis-sioner)包括获处长根据本条授权的任何人。
22.付款不影响获法律援助的权利
&& &如法律援助的目的是为协助申请人追讨根据雇佣合约或《雇佣条例》(第57章)已到期支付而未有支付给他的任何根据第16条所作付款以外的款项,则根据该条所作的付款并不影响该申请人根据《法律援助条例》(第91章)获取法律援助的权利。
23.证明书作为证明
(1)一份文件如看来是由处长签署的,并述明——
(a)在该文件中所指明的日期已将该文件所述款额从基金拨付给该文件中被指名的人;及
(b)在紧接该日期前,该文件中被指名的雇主,就该文件所述的一段或多段期间,欠下该人在该文件中指明的工资、代通知金或遣散费(视属何情况而定)或上述各项、其中一项或多于一项,(由1989年第38号第5条代替)则该文件在任何法律程序中呈交时,即须接受为证据,无须再加证明;而且该文件须作为文件中所述事实的表面证据,直至相反证明成立或除非显示该文件非经由处长签署。(由1987年第48号第5条代替)
(2)在本条内,“法律程序”(proceedings)包括在任何破产或清盘案件中债权证明表的提交。

24.代位权
(1)凡根据第16条就已到期支付给申请人的工资而付给他一笔款项,或就支付遣散费给申请人的法律责任(不论在根据第16条作出付款时该遣散费是否到期支付)而付给他一笔款项,则在紧接根据第16条付款前已存在而与该等工资或遣散费(视属何情况而定)有关的一切该申请人的权利及补救权,在不超逾根据第16条所付款额的限度下,须为基金利益而告转让予及归属委员会;而委员会可采取其认为需要的步骤,以行使该等权利及补救权。
(2)已依据第(1)款转让予及归属委员会的有关申请人就某项遣散费的权利及补救权,须包括申请人就该项遣散费其中部分的权利和补救权,而该部分是申请人在公司清盘时根据《公司条例》(第32章)第265(1)(ca)条会有权获优先偿还的,或申请人在破产案中根据《破产条例》(第6章)第38(1)(ca)条会有权获优先偿还的。(由1991年第45号第4条代替)
(2A)凡——
(a)已到期支付给申请人的工资额,超逾已根据第16条就该等工资而付给他的款额,则本条并不影响申请人在超出的款额上的权利或补救权;
(b)支付某项遣散费给申请人的法律责任,所涉款额超逾已根据第16条就该项遣散费而付给他的款额,则申请人在超出的款额上的权利或补救权,须受已依据第(1)款转让予及归属委员会的申请人就该项遣散费的权利及补救权的规限。(由1991年第45号第4条增补)
(3)在本条内,“工资”(wages)包括代通知金。(由1987年第48号第6条增补)

25.误付款项的追讨
(a)基于法律上或事实上的错误而从基金付款予任何人;或
(b)就一宗在任何要项上是虚假的申请而付款予任何人,尽管无人因第26条所订罪行而遭检控或被定罪,所付款项即作为欠下委员会的债项,可由委员会向收款人追讨。

26.罪行
(1)任何人如——
(a)为本条例的施行(包括为根据本条例进行的任何查讯)而提供资料时,作出他明知在要项上是虚假的任何陈述,或罔顾真伪地作出在要项上是虚假的陈述;或
(b)为本条例的施行(包括为根据本条例进行的查讯)以及为了意图欺骗而呈交、提供、送交或以其他方式使用任何在要项上是虚假的任何文件或记录,即属犯罪,可处罚款$50,000及监禁3个月。
(2)任何人无合理解释而不遵从处长根据第19(1)或(4)条所定的要求者,即属犯罪,可处罚款$5,000及监禁1个月。
(3)在不损害任何条例中有关检控罪行规定及不损害律政司对刑事罪行的检控权力的原则下,凡就本条例所订的任何罪行作出的检控,均可以处长的名义作出,并可由为此而获处长书面授权的劳工处人员提出及进行。
(4)为施行《裁判官条例》(第227章)第8(1B)条的规定,凡处长或根据第(3)款获授权的任何人员就本条例所订罪行提出申诉或告发,则该申诉人或告发人须当作代表律政司行事。
27.规例
总督会同行政局可藉规例——
&& &(a)订明根据本条例须予订明或准予订明的任何事项;
(b)订定规定,以便更有效施行本条例条文。
28.总督修订附表的权力
总督可藉宪报公告修订附表。
29.过渡性条文
《1987年破产欠薪保障(修订)条例》(1987年第48号)(即“该修订条例”(the& amendingOrdinance))适用于在该修订条例生效日期后按照《破产条例》(第6章)第38条或《公司条例》(第32章)第265条须作的任何付款,并适用于与上述付款有关的事宜,尽管与该项付款有关的债务是在该修订条例生效日期前招致的。

1.委员会的地位
委员会并非官方的受雇人或代理人,亦不享有任何官方的地位、豁免权或特权。
(1)委员会须设有法团印章,在盖印后须由2名委员签署以认证其为真确。
(2)任何文件,如看来是盖上委员会印章而妥为签立的文件,须接受为证据;而除非相反证明成立,否则该文件须当作为如上述般签立的文件。
3.委员的任期
& &&(1)凡属非公职人员身分的委员会委员,除非其遭免任或其委任因其他原因而告终止,否则其任期由总督指明。
(2)凡属本条第(1)节适用的委员,其任期或连任期届满后均有资格再获委任,任期由总督指明。
(3)凡属本条第(1)节适用的委员,可随时以书面通知向总督辞职,而该委员即由通知书所指明的日期起停任委员;如无指明日期,则由总督接获通知之日起停任委员。
(4)除主席外,任何委员会委员,如不在香港或基于其他理由而不能行使委员的权力或执行委员的职责,则总督可委任另一人为临时委员,在该委员不在港或无履行职务能力期间暂代其职。
(1)总督须委任一人为委员会主席,并须藉宪报公告就该项委任作出通知。
(2)如主席不在香港或基于其他理由不能执行主席职务,则总督可委任另一人在主席不在港或无履行职务能力期间暂代主席之职,并须藉宪报公告就该项委任作出通知。
(3)在委员会任何会议席上,主席除有权投普通票外,另有权投决定票。
5.委员会的会议及程序
(1)委员会会议须在主席或署理主席职务的人所指定的时间及地点举行。
(2)委员会会议的法定人数为5人。
(3)在符合本附表的规定下委员会可决定其会议程序。
6.以传阅文件方式处理会务
委员会可采用传阅文件方式处理其会务;凡获多数委员赞同的书面决议,其效力及作用犹如该决议是在委员会会议席上由赞同该决议的委员投票通过者一样。
7.委员会可将权力转委处长
委员会可藉决议,将委员会的任何权力及职责以书面转委处长,而该项转委是否附加限制或条件则按委员会认为适当者而定,但第4(1)(b)或17(3)条所赋予委员会的权力不得予以转委。
8.小组委员会
委员会如认为适当,可设立及委出小组委员会,以处理一般或特别事务;而就该等小组委员会而言——
(a)主席须由委员会委任;及
(b)主席以及每3名获委为某小组委员会成员的人士中的至少2个须为委员会委员。
9.委员会可将权力转委小组委员会
委员会可藉决议,将委员会的任何权力及职责以书面转委根据第8段委出的小组委员会,而该项转委是否附加限制或条件则按委员会认为适当者而定,但第4(1)(b)或17(3)条所赋予委员会的权力不得予以转委。

1. Short title
This Ordinance may be cited as& the& Protection&
of& Wages& on& Insolvency
Ordinance.
2. Interpretation
In this Ordinance, unless the context otherwise
requires--
&applicant& means any person who would, on
the winding up of a company, be
entitled to priority under section 265 (1) (b), (c),
(ca) or (cc)& of& the
Companies Ordinance (Cap.& 32) or who would, on a bankruptcy, be& entitled
to priority under section 38 (1) (b), (c), (ca) or
(cc) of the& Bankruptcy
Ordinance (Cap. 6) other than a person whose employer
is an individual and
who is a member of the family of that employer and who
dwells in the& same
dwell (Amended 48 of 1987 s. 2;
38 of 1989 s. 2)
&bankruptcy petition& means a
bankruptcy& petition& under& the& Bankruptcy
Ordinance (Cap.&
&Board& means the Protection of Wages on
Insolvency Fund Board established
by section 3;
&Commissioner& means the Commissioner for
&company& means any body& which& is& liable& to& be& wound& up& under& the
Companies Ordinance (Cap. 32);
&financial year& means the financial year of
the Fund fixed under& section
8; &Fund& means the Protection of Wages on
Insolvency Fund referred to& in
section 6;
&levy& has the meaning assigned& to& it& by& section& 2& of& the& Business
Registration Ordinance (Cap. 310);
* &severance payment& means a severance
payment payable by an employer& to
an employee under section 31B (1) of the Employment
Ordinance (Cap. 57);

3. Establishment and incorporation of Wages on
Insolvency Fund Board
(1) There is hereby established a board to be known as
the& Protection& of
Wages on Insolvency Fund Board and in the Chinese language
as which& shall
be a body corporate.
(2) The Board shall consist of a Chairman appointed
under the Schedule and
not more than 10 members appointed by the Governor as
(a) subject to paragraph (b) not more than 4 public
(b) equal numbers of persons who, in his opinion,
represent employers& and
persons who, in his opinion, represent employees.
(3) The Governor shall give notice of each appointment
by& notice& in& the

(1) The Board shall have the following functions--
(a) to administer the F

(a) hold, acquire or lease& all& kinds& of& property&
whether& movable& or
(b) sell or otherwise dispose of all kinds of property
whether movable& or
(c) subject to section 10, invest its funds in
such& manner& and& to& such
extent as it thinks ne and
(d) with the prior consent of the Financial& Secretary,& borrow&
such manner and on such securities or terms as it
thinks expedient.
5. Board to be subject to directions of the Governor
in Council
The Governor in Council may give to the Board such
directions as he thinks
fit with respect to the exercise of its functions
under this Ordinance and
the Board shall comply with any such direction.

6. Establishment of Protection of Wages on Insolvency
The fund known as the Protection of Wages on
Insolvency& Fund& established
under the provisions of section 21 of the Business
Registration Ordinance
(Cap. 310) in force immediately before the commencement
of this& Ordinance
shall be deemed to be established and continue& in& existence&
under& this
section, and shall consist of--
(a) moneys that are paid by the Commissioner of Inland
Revenue under& that
section whether paid before or after the commencement
(b) moneys recovered under Part VI;
(c) interest and other income derived& from& the& moneys& and& investments
comprising the F and
(d) other moneys lawfully paid into the Fund.
7. Payments from the Fund
There shall be paid from the Fund the following--
(a) payments to applicants under section 16;
(b) expenses incurred by the Board for the purposes of
(c) capital, interest and charges in respect of any

the Fund under this

PROVISIONS
8. Financial year and estimates
(1) The Board may, from time to time,& with& the& prior& approval& of& the
Governor, fix a period to be the financial year of the

income and expenditure of the Fund for the next
financial year:

(3) The Governor shall consider& the& estimates&
submitted& to& him& under
subsection (2) and may& approve& or& reject& them& and,& in& the& case& of
rejection, may require the Board to resubmit& the& estimates&
modified& in
such manner and within such time as the Governor may

subsection (3) and shall, as soon as practicable,

9. Bank account
The Board shall open and maintain an account with a
bank approved& by& the
Financial Secretary and shall& pay& all& moneys& of& the& Fund& into& that

All moneys of the Fund that are not immediately
required by the Board& may
(a) deposited on fixed term or call deposit or in a
savings account in
any bank licensed under the Banking Ordinance (Cap.

11. Accounts
The Board shall--
(a) keep and maintain such accounts and records of all
transactions of the
Fund as the Director of Accounting Services may

of the accounts of the Fund which shall include an
income and& expenditure
account and balance sheet and shall be signed by the

(1) The Board shall at the commencement of& each& financial&
year& appoint
auditors, who shall be entitled to have access to
all& books& of& account,
vouchers and&
other& records& kept& by& the& Board& and& to& require& such
information and explanations as they may think fit.
(2) The auditors shall audit the& statement& of&
accounts& prepared& under
section 11 and shall report thereon to the Board.
13. Statements and reports to be laid on table of
Legislative Council
(1) The Board shall, within 6 months after the end of
each financial& year
or such further time as the Governor may for any& particular& year& allow,
submit to the Governor a report on the activities of
the& Board& for& that
financial year including copies of& the& statement&
of& accounts& prepared
under section 11 and the report made under section 12.
(2) The Governor shall cause the reports and
statements& received& by& him
under subsection
(1) to be laid on the table of the Legislative
14. Costs of administering the Fund
(1) All costs and expenses incurred by the Government
in administering the
Fund shall be a charge upon general revenue.
(2) The Financial Secretary may& direct& that& a& supervision& fee& to& be
determined by him, in relation to such period as may
be determined by him,
shall be charged against the income of& the& Fund& and& shall& at& a& time
determined by him be paid to him by the Board from the
Fund& and& paid& by
him into general revenue.

15. Entitlement to apply for ex gratia payment
(1) Subject to this Part, an applicant to whom--
(b) wages in lieu of notic or
(c) the liability to be paid& a&
severance& payment& has& arisen& and& the
severance payment is unpaid, whether or not the
severance payment is& then
due, may apply for an ex gratia payment from the Fund
in& respect& of& the
wages, wages in lieu of notice or the severance
payment, as the& case& may
be, or all or any of them. (Replaced 38 of 1989 s. 3)
(2) An application under subsection (1) (in this Part
&application& ) shall be made to the
Commissioner in& writing& in& a& form
approved by him. (Amended 48 of 1987 s. 3)
(3) No applicant shall apply for payment from the Fund
in respect& of& any
wages for services rendered before 1 April 1985.
(4) No applicant shall apply for payment from the Fund
in respect of wages
in lieu of notice arising out& of& a& contract& of& employment&
terminated
before the commencement of the Protection of Wages on
Insolvency
(Amendment) Ordinance 1987 (48 of 1987). (Added 48 of

(5) No applicant shall apply for payment from the
Fund& in& respect& of& a
severance payment the liability for payment& of& which&
arose& before& the
commencement&
of& the& Protection& of& Wages& on& Insolvency&&
(Amendment)

16. Payment
Subject& to& subsections& (1B)& and& (2)& where& it& appears& to& the
Commissioner that an employer has failed to pay any
wages, wages& in& lieu
of notice or severance payment, as the case may be, or
all or any of& them
to an applicant and that--
(a) in the case of an employer who is not a company--
(i) a bankruptcy petition has been presented against
(ii) he has committed an act of bankruptcy within the
meaning of section 3
of the Bankruptcy Ordinance (Cap. 6) but a
petition& cannot& be& presented
against him by reason of section 6 (1) (a) of that

(b) in the case of an employer who is a company, a
winding-uppetition& has
been presented against that employer,
he may make an ex gratia payment to the applicant out
of the Fund& of& the
amount of the wages, wages in lieu of notice or
severance payment, as& the
case may be, or all or any of them.
(1A) When the Commissioner makes a payment under
subsection (1) (a)& (ii),
he shall give notice of the& payment&
and& the& reasons& therefor&

(1B) Where an application has been made in respect of
a severance& payment
which is not due at the date of& the& application,&
the& Commissioner& may
defer consideration of the application until the
severance payment becomes

(2) The Commissioner shall not make any payment under
subsection (1)--
(a) to the applicant unless the applicant has verified
his application& by
a statutory declaration in a form approved by the

(d) in respect of wages for services rendered more
than 4 months prior& to

(ii) subject to subsection (2A), which became due more
than 4 months prior

(i) of an amount exceeding the aggregate of $8,000 and

of the applicant's entitlement to severance payment in
excess& of& $8,000;

than 4 months prior& to

(2A) Subsection (2) (e) (ii) shall not apply to wages
in& lieu& of& notice
arising out of a contract of employment terminated
before the commencement
of the Protection of Wages on Insolvency (Amendment)
Ordinance 1989 (38 of

resolution amend the period specified in subsection
(2) (e) (i) (A) or the
amount specified in subsection (2) (b), (e) (i) (B) or

17. Review by Board
(1) Any applicant aggrieved by any& decision& of& the& Commissioner& under
section 16 may in writing--
(a) request the Commissioner to give reasons for that
after& being& given& reasons&
under& paragraph&& (a),&& request&&
Commissioner to refer the application to the Board.
(2) Upon receiving a request from an applicant under
subsection& (1)& (b),
the Commissioner shall forward all documents relating
to& the& application
to the Chairman of the Board.
(3) The Board may confirm or vary any decision of the
Commissioner& on& an
application referred to it under this section or
may& for& those& purposes
require the&
Commissioner& to& make& further&
inquiries& relating& to& the
application.
18. Additional power of Commissioner
(1) Notwithstanding that in any particular case a
petition referred to& in
section 16 (1) (a) (i) or (b) has not been presented
against an& employer,
the Commissioner may, subject to subsection (2) of
that section,& make& an
ex gratia payment under that section in that case if
in his opinion--
(Amended, 41 of 1988 s. 3)
(a) the employer employs less than 20
(b) sufficient evidence exists to support the
presentation of& a& petition
in that case on the ground--
(i) if the employer is a company, that he is unable to
(ii) if the employer is a& person&
other& than& a&
company,& that& he& has
(c) it is unreasonable or uneconomic to present a
petition in that case.
(2) Where the Commissioner exercises his discretion
under& subsection& (1)
to make payment, he shall give notice in the Gazette
stating that, in& his
opinion, sufficient evidence exists& to& support&
the& presentation& of& a
petition on the ground--
(a) if the employer is a company, that he is unable to
(b) if the employer is& a& person& other& than& a& company,& that& he& has
committed an act of bankruptcy.
(3) Nothing in subsection (2) shall require the
Commissioner to give& more
than one notice in respect of each employer.
(4) No action shall lie against the Commissioner in
respect of any& notice
given under subsection (2).
19. Verification of application
(1) For the purpose of verifying any application under
section 15,& or& if
so required by the Board under section 17 (3), the
Commissioner& may& make
such inquiries as he& thinks& fit& and& may& in& particular,& but& without
limiting the generality of the foregoing& and& without&
prejudice& to& any
powers of the Commissioner under any other Ordinance--
(a) interview the applicant an
(b) by notice in writing require the applicant or any
other person& having
possession thereof to produce to the Commissioner for
his& inspection& any
record, book of account, or other document as may, in
the opinion& of& the
Commissioner, be necessary to ve
(c) by notice in writing require any person whom he
reasonably believes to
have possession thereof to produce to the Commissioner
for his& inspection
any register, record or other document required to be
kept by an& employer
under the Employment Ordinance (Cap. 57); and
(d) by notice in writing require the& employer& to& whom& the& application
relates or any servant, agent or& employee& of& that& employer& to& attend
before him and to answer questions put by him.
(2) Any notice served by the Commissioner imposing
any& requirement& under
this section, shall state the time when and place
where the person to whom
the notice is given shall comply with that
requirement.
(3) Any notice to be served on any person under this
section may be served
(4) In relation to the Commissioner's powers under
subsection (1) to& make
inquiries--
(a) any person required to answer questions shall
have, in relation to any
answer thereto, such privileges as he would have
had,& had& such& question
been asked in a court but shall otherwise answer any
(b) the Commissioner& shall&
proceed& as& informal& as&
possible& and& may
determine the procedure to be followed.
20. Decisions under this Part not to be challenged
No decision of the Commissioner or the& Board& made& in& exercise& of& any
discretion under this Part shall be challenged in any

(1) The Commissioner may, in writing, authorize any
officer of the& Labour
Department to exercise any of his powers or& perform& any& of& his& duties
under this Part.
(2) In this Part but not in subsection (1)
&Commissioner& includes any person
authorized by& the& Commissioner& under
this section.
22. Payment not to affect right to legal aid
Any right of an applicant& to& receive& legal& aid& under& the& Legal& Aid
Ordinance (Cap. 91) shall not& be& affected&
by& any& payment& made& under
section 16 if the purpose of such legal aid is to
assist the applicant& to
recover any further amount due to him under any
contract of employment& or
under the Employment Ordinance (Cap. 57).
23. Proof by certificate
(1) A document purporting to be under the hand of the
Commissioner stating
(a) on the date specified therein the sum of money
stated therein was paid
from the Fund to the
(b) immediately before that date the employer named
therein owed& to& that
person the amount of wages, wages in lieu of notice or
severance& payment,
as the case may be, or all or any of them, specified
therein in respect of
the period or periods stated therein, (Replaced 38 of
1989 s. 5)
shall be admissible in any& proceedings&
on& its& production& and& without
further proof and, until the contrary is proved or
unless it be shown that
the document was not under the hand of the
Commissioner,& shall& be& prima
facie evidence of the facts stated therein. (Replaced
48 of 1987 s. 5)
(2) In this section &proceedings& includes
the lodging of a proof of& debt
in any bankruptcy or winding-up.

24. Subrogation
(1) Where a payment is made under section 16 to an
applicant in respect of
wages due to him, or in respect of any liability to
pay& him& a& severance
payment, whether or not the severance payment is& due &when& that& payment
under section 16 is made, all his rights& and& remedies&
with& respect& to
those wages or severance payment, as the case may be,
existing immediately
before that payment under section 16 shall, to the
extent of the amount of
that payment under section 16, be transferred to and
vest in the Board for
the benefit of the Fund and the Board may take such
steps as it& considers
necessary to enforce those rights and remedies.
(2) The rights and remedies of an applicant& in& respect& of& a&
payment transferred to and vested in the Board
pursuant to subsection& (1)
shall include the rights and remedies of the applicant
in& respect& of& so
much of that severance payment as the applicant would,
on the& winding& up
of a company, be entitled to priority under section
265 (1)& (ca)& of& the
Companies Ordinance (Cap. 32) or would, on a
bankruptcy,& be& entitled& to
priority under section 38 (1) (ca) of the Bankruptcy
Ordinance (Cap. 6).

(2A) Where--
(a) the amount of any wages due to an applicant
exceeds the amount of& any
payment made to him under section 16 in respect of
those wages, nothing in
this section shall affect the rights& or& remedies&
of& the& applicant& in
respect of the
(b) the amount of any liability in respect of the
payment to an& applicant
of a severance payment exceeds the amount of any
payment made to him under
section 16 in respect of the severance payment, the
rights or remedies& of
the applicant in respect of the amount of the excess
shall be& subject& to
the rights and remedies of the& applicant& in& respect& of& the& severance
payment transferred to and vested in the Board
pursuant to subsection (1).

(3) In this section &wages& includes wages
in lieu of notice. (Added 48 of

25. Recovery of payment made by mistake
(a) any payment is made to any person from the Fund
under a mistake of law
(b) notwithstanding that no person has beer charged
with or& convicted& of
an offence under section 26, any payment is made to
any person, in respect
of an application that is false in any material
particular,
such payment shall be recoverable by the Board from
the recipient& thereof
as a debt due to the Board.

26. Offences
(1) Any person who--
(a) in providing information for the purposes of this
Ordinance& including
any inquiry thereunder, makes any statement which he
knows to be false& in
a material particular or recklessly makes a statement
which is false in& a
(b) for the purposes of this Ordinance including& any& inquiry&
thereunder
and with intent to deceive, produces,& supplies& or& sends,& or& otherwise
makes use of, any& document&
or& record& which& is& false& in& a& material
particular,
commits an offence and is liable to a fine of $50,000
and to& imprisonment
for 3 months.
(2) Any person who, without reasonable excuse, fails
to& comply& with& any
requirement imposed by the& Commissioner&
under& section& 19& (1)& or& (4)
commits an offence and is liable to a fine of $ 5,000
and to& imprisonment
for 1 month.
(3) Without prejudice to any Ordinance& relating& to& the& prosecution& of
offences or to the powers of& the&
Attorney& General& in& respect& of& the
prosecution of criminal offences, a prosecution for
any offence under this
Ordinance may be brought in the name of the
Commissioner and commenced and
conducted by an officer of the Labour Department
authorized in that behalf
in writing by the Commissioner.
(4) Where a complaint is made or an information laid
for an offence& under
this Ordinance&
by& the& Commissioner& or& any& officer& authorized&
subsection (3), the complainant or informant shall,
for& the& purposes& of
section 8 (1B) of the Magistrates Ordinance (Cap.& 227), be deemed& to& be
acting on behalf of the Attorney General.
27. Regulations
The Governor in Council may be regulations--
(a) prescribe anything required or permitted to be
prescribed& under& this
(b) provide for the better carrying into effect of the
provisions of& this
Ordinance.
28. Power of Governor to amend Schedule
The Governor may by notice in the Gazette amend the

Ordinance& 1987& (48& of
1987) (&the amending Ordinance&) shall apply
to and& in& relation& to& any
payment to be made& in&
accordance& with& section& 38& of& the& Bankruptcy
Ordinance (Cap. 6), or section 265 of the Companies
Ordinance& (Cap.& 32),
after the Commencement of the amending Ordinance,
notwithstanding that any
debt to which such payment relates was incurred before
that commencement.

28] PROTECTION OF WAGES ON INSOLVENCY FUND BOARD
1. Status of Board
The Board shall not be the servant or agent of& the& Crown& nor& shall& it
enjoy any status, immunity or privilege of the Crown.
(1) The Board shall have a common seal, the
affixing& of& which& shall& be
authenticated by the signature of any 2 members.
(2) Any document purporting to be a document duly
executed under the& seal
of the Board shall be received in evidence and shall,
unless the& contrary
is proved, be deemed to be a document so executed.
3. Tenure of members
(1) A member of the Board who is not a public
officer& shall,& unless& his
appointment is terminated or otherwise ceases, hold
office for such period
as the Governor may specify.
(2) On the expiry of his period& of& appointment&
or& re-appointment,& any
to& whom& subparagraph& (1) &applies&&
shall&& be&& eligible&& for
re-appointment for such further term as the Governor
may specify.
(3) Any member to whom subparagraph (1) applies
may& at& any& time& resign
from office by giving notice in writing to& the& Governor,&
and& he& shall
cease to be a member from the date specified in the
notice or, if no& date
is specified, from the date of the receipt by the
Governor of the notice.
(4) If any member of the Board. other than the
Chairman,& is& absent& from
Hong Kong or is for any other reason unable& to& exercise&
the& powers& or
perform the duties of his office& as& member,&
the& Governor& may& appoint
another person to be a temporary member in his place
during his absence or
incapacity.
4. Chairman
(1) The Governor shall appoint a person to be Chairman
of& the& Board& and
shall give notice of such appointment by notice in the

unable to act as Chairman, the Governor may appoint
another person& to& be
Chairman in his place during his absence& or& incapacity&
and& shall& give

(3) At any meeting of the Board the Chairman shall
have a casting vote& in
addition to a deliberative vote.
5. Meetings and proceedings of the Board
(1) Meetings of the Board shall be held at such times
and& places& as& the
Chairman or person acting as Chairman may appoint.
(2) The quorum for meetings of the Board shall be 5.
(3) Subject to this Schedule the Board may determine
its own procedure.
6. Transaction of business by circulation of papers
The Board may transact any of its business by the
circulation& of& papers,
and a resolution in writing which is approved by a
majority of the members
shall be valid and effectual as if it had been passed
at a meeting of& the
Board by the votes of its members so approving the
resolution.
7. Board may delegate to Commissioner
The Board may by resolution, with or without
restrictions or conditions as
it thinks fit, delegate in writing to the Commissioner
any of& its& powers
and duties other than its power under section 4 (1)
(b) or 17 (3).
8. Committees
The Board may create and& appoint&
such& committees& for& any&
general& or
special purposes as it thinks fit and, in relation to
such committees, --
(a) the Chairman shall be appointed by the B and
(b) the Chairman and at least 2 out of every& 3&
persons& appointed& to& a
committee shall be members of the Board.
9. Board may delegate to Committee
The Board may by resolution, with or without restrictions
or conditions as
it thinks fit, delegate& in& writing& to& any&
committee& appointed& under
paragraph 8 any of its powers& and& duties&
other& than& its& power& under
section 4 (1) (b) or 17 (3).
Note: Section 4 of 15 of 1993 which amended the& Protection& of& Wages& on
Insolvency&
Ordinance& is& a&
transitional& provision& that& affects& this
Ordinance.}
